Terms of service
Agreement
These terms apply to all services provided by BRANDSWOT Consultancy. Each project also has a written scope (proposal or quotation). If the scope and these terms conflict, the scope applies for that project.
Scope and deliverables
We deliver what is listed in the agreed scope, including the number of concepts and revision rounds. Work outside the scope is quoted separately before we start it.
Payments
Projects start after a 70% advance payment. The balance is due before final files are handed over or the work goes live. Retainers are billed monthly in advance. Prices are exclusive of GST unless stated. Late payments may pause work.
Your responsibilities
- Provide content, approvals, brand assets and account access on time
- Make sure material you give us does not infringe anyone's rights
- Pay advertising platforms directly, or reimburse ad spend we pay on your behalf; ad spend is separate from our fees
Timelines
Timelines in the scope depend on timely feedback and content from you. Delays in approvals move delivery dates accordingly.
Intellectual property
Once full payment is received, you own the final approved deliverables created for you. We keep ownership of our methods, tools, templates and unused concepts. Third-party items such as fonts, stock images and software stay under their own licences. We may show completed work in our portfolio unless you ask us not to in writing.
No guaranteed results
Search rankings, AI search mentions, ad performance, leads, sales and media coverage depend on platforms, markets and third parties. We do not guarantee specific results, but we commit to doing the agreed work to a professional standard and reporting honestly.
Confidentiality
We keep your confidential information private and use it only for your project. We will sign an NDA on request.
Limitation of liability
Our total liability for any project is limited to the fees you paid for that project. We are not liable for indirect losses such as lost profits or data, or for issues caused by third-party platforms.
Termination
Either party may end a retainer with 30 days' written notice. Either party may end a project if the other materially breaches these terms and does not fix it within 15 days of notice. Work completed up to termination is payable.
Governing law
These terms are governed by the laws of India. Disputes are subject to the courts at Anantapur, Andhra Pradesh.
